Vendor Platform Terms

These Bulqit Vendor Platform Terms (these "Vendor Terms" or "Terms") govern your access to and use of the Bulqit platform (the "Platform") as a home service provider ("Vendor," "you," or "your"). These Vendor Terms are entered into by and between you and Bulqit, LLC, a Delaware limited liability company with its principal place of business at 1623 West Fulton Street, Chicago, Illinois 60612 ("Bulqit," "we," or "us").

By completing vendor registration, accepting an award to provide a service within a Bulqit Block ("Awarded Vendor Status"), or otherwise using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.

1. What Bulqit Is

Bulqit organizes homeowners and property owners ("Members") within defined neighborhood groupings, each a "Bulqit Block," to obtain recurring and non-recurring outdoor home services through the Platform. For each service category within a Bulqit Block, Bulqit may conduct a vendor qualification and bidding process and designate a single vetted Vendor as the exclusive awarded vendor for that Bulqit Block and service category (an "Awarded Vendor"). Each service offered by an Awarded Vendor to Members through the Platform is a "Covered Service."

Bulqit is not a home service provider and does not perform Covered Services. We administer the Platform and the relationships facilitated through it, including vendor qualification, Block formation, pricing presentation, billing and payment processing, scheduling coordination, performance monitoring, ratings, and dispute mediation.

The actual service relationship for each Covered Service is between you and the applicable Member and is governed by a separate Member and Vendor Service Agreement formed when the Member accepts the Covered Service through checkout. Bulqit is not a party to the Member and Vendor Service Agreement. These Terms govern your relationship with Bulqit and your access to and use of the Platform as a Vendor.

2. The Bulqit Way

Being an Awarded Vendor means you're the exclusive provider of a Covered Service within a Bulqit Block through the Platform. That's a privilege, and it comes with an expectation: do right by the Member, every time.

Concretely, that means:

  • Show up when you say you will. Members in a Bulqit Block are relying on Bulqit and their Awarded Vendor for the Covered Service. The least we owe them is reliability.
  • Do the job the way you'd want it done at your own home. Perform every Covered Service professionally, consistently, and in accordance with the applicable Scope of Work. No shortcuts that a Member wouldn't be able to see until it's too late.
  • Communicate instead of ghosting. If something is going to be late, skipped, rescheduled, or different than planned, communicate with the Member promptly, preferably through the Platform so there is a record of the communication.
  • Keep the relationship on Bulqit. You're free to communicate directly with Members when appropriate, but Covered Services and other transactions with Members assigned to you through Bulqit must remain on the Platform as required by these Terms.
  • Treat a low rating as information, not an inconvenience. Respond to it, fix what's reasonably fixable, and don't retaliate against or take it out on the Member.
  • Remember the Block is bigger than one job. Your performance for one Member affects your standing throughout the Bulqit Block and your eligibility for future opportunities on the Platform.

Bulqit's vendor qualification process, Member ratings, performance monitoring, and Bulqit Score, our proprietary vendor rating system, exist to help maintain these standards. Vendors who consistently meet them may receive priority consideration for additional Bulqit Blocks, Seed Vendor opportunities, and continued Awarded Vendor Status. Vendors who don't may be subject to performance review, removal, or replacement in accordance with these Terms.

3. Vendor Qualification

Before you can bid on or be awarded a Bulqit Block, Bulqit may review information about you and your business, including applicable business and professional licenses, permits, insurance coverage, references, experience, service capabilities, and other information relevant to our vendor qualification process. Bulqit may also conduct or require background checks or other screening as part of that process.

You represent that all information and documentation you provide to Bulqit, both during the qualification process and afterward, is accurate, complete, and current. You are responsible for maintaining all licenses, permits, registrations, insurance coverage, and other qualifications required by applicable law, Bulqit's then-current vendor qualification standards, and the requirements applicable to the Covered Services you perform.

You must promptly notify Bulqit of any material change affecting your qualifications or ability to perform Covered Services, including the expiration, suspension, cancellation, or material reduction of required insurance coverage; the suspension, revocation, or expiration of a required license or permit; or any other circumstance that materially affects your ability to perform Covered Services safely, lawfully, and in accordance with these Terms.

Bulqit may deny, condition, suspend, or revoke your qualification or Awarded Vendor Status if you no longer satisfy our vendor qualification standards, required information is not provided or maintained, information you provided is inaccurate or misleading, required insurance or licensing lapses, or Bulqit otherwise reasonably determines that you are no longer qualified to provide Covered Services through the Platform.

You are responsible for ensuring that all employees, contractors, subcontractors, and other personnel performing Covered Services on your behalf are appropriately qualified, trained, licensed where required, covered by applicable insurance, and authorized to perform the applicable work as required by applicable law and Bulqit's then-current Vendor qualification standards. If Bulqit requires background checks, identity verification, licensing verification, or other screening for personnel performing particular Covered Services, you may not assign an individual to perform those Covered Services unless the applicable requirements have been satisfied.

4. Awarded Vendor Status and Exclusivity

If Bulqit designates you as the Awarded Vendor for a Bulqit Block and Covered Service, you are the exclusive Vendor for that Covered Service within that Bulqit Block through the Platform, subject to these Terms. Awarded Vendor Status applies separately to each Bulqit Block and Covered Service awarded to you and does not guarantee any minimum number of Members, service instances, revenue, or future Bulqit Blocks.

Awarded Vendor Status provides exclusivity only with respect to the applicable Covered Service within the applicable Bulqit Block. Bulqit may separately engage Seed Vendors, homebuilders, developers, Realtors, HOAs, community associations, distribution partners, referral partners, marketing partners, or other strategic participants within the same Bulqit Block, including participants that may receive a share of Platform Fees or other economic participation relating to activity within the Bulqit Block. Except as expressly provided in a separate written agreement between you and Bulqit, you have no right to or interest in any Platform Fees, revenue shares, referral fees, marketing fees, or other amounts payable to or received by Bulqit or any such participant.

Bulqit may establish, modify, divide, combine, expand, contract, rename, or otherwise adjust the geographic boundaries of a Bulqit Block from time to time based on operational considerations, Member participation, service density, Vendor capacity, community development, geographic conditions, or other factors relevant to the operation and growth of the Platform. Any material change affecting an existing Awarded Vendor's Covered Service will be communicated through the Platform or otherwise in writing, and Bulqit will determine in good faith how the applicable Awarded Vendor Status will apply following the change, subject to any separate written agreement between you and Bulqit.

The initial term of each award will be established at the time you accept the award through the Platform or in a separate written agreement between you and Bulqit. Any renewal or extension will be as agreed between you and Bulqit, unless the award is terminated, removed, or reassigned in accordance with these Terms or a separate written agreement between you and Bulqit.

As the Awarded Vendor, you are expected to maintain sufficient personnel, equipment, scheduling capacity, and other resources reasonably necessary to provide the Covered Service to participating Members within your awarded Bulqit Block. You understand that Member participation may increase over time, including through Bulqit's marketing and relationships with Seed Vendors, homebuilders, developers, Realtors, HOAs, community associations, distribution partners, referral partners, and other strategic participants. If you anticipate that you will be unable to accommodate existing or reasonably anticipated Member demand, you must promptly notify Bulqit so that we can work with you to address the capacity issue. A material or repeated inability to service participating Members may affect your continued Awarded Vendor Status in accordance with these Terms.

In exchange for Awarded Vendor Status and access to Members through the Platform, all onboarding, booking, administration, billing, payment processing, and account management for Covered Services provided to Members through your awarded Bulqit Block must remain on the Platform. You may not solicit, invite, encourage, or assist a Member to arrange, purchase, or pay for a Covered Service or any other service you offer outside the Platform while you hold Awarded Vendor Status for that Member's Bulqit Block and for 52 weeks after that status ends with respect to Members who obtained a Covered Service from you through the Platform while you held Awarded Vendor Status. You also may not accept payment outside the Platform for any such service or transaction.

Nothing in this Section prohibits you from communicating directly with a Member outside the Platform, including by phone, email, or other means. However, we encourage communications relating to Covered Services to occur through the Platform whenever reasonably possible so that scheduling, service history, and communications can be documented and used to administer the relationship and resolve service issues. Regardless of how you communicate with a Member, transactions subject to the preceding paragraph must remain on the Platform.

Nothing in these Terms prevents you from conducting general advertising or marketing that is not specifically directed at Bulqit Members. When your Awarded Vendor Status for a Bulqit Block ends, your access to and ability to communicate with Members of that Bulqit Block through the Platform may be terminated, and Bulqit may transition those Members and Covered Services to a successor Awarded Vendor. You may not use Member information, contact information, service history, or other information obtained through the Platform to contact, solicit, market to, or transact with those Members outside the Platform. The 52-week restrictions described above continue to apply after your Awarded Vendor Status ends.

If you are participating under a separate Seed Vendor Agreement or other written agreement with Bulqit that permits you to continue servicing certain pre-existing customers outside the Platform, the applicable agreement will control with respect to those customers. Any such exception is limited to the specific pre-existing customer relationships covered by that agreement and does not permit you to solicit, onboard, or service new customers within the applicable Bulqit Block outside the Platform.

Bulqit's objective is to build a long-term, mutually beneficial relationship with its Awarded Vendors and to work collaboratively to activate each Bulqit Block. Bulqit provides access to organized groups of Members, centralized billing and payment processing, scheduling and communication tools, customer acquisition and account administration, and opportunities to grow across additional Bulqit Blocks. In return, Awarded Vendors are expected to provide reliable service, maintain competitive awarded pricing, support the Member experience, and keep the resulting customer relationships and transactions on the Platform.

As part of Awarded Vendor Status, you agree to reasonably participate and collaborate with Bulqit in marketing and activation efforts for your awarded Bulqit Blocks. These efforts may include direct mail, digital marketing, Member outreach, neighborhood or community events, promotional campaigns, referral programs, co-branded materials, and other mutually agreed initiatives intended to increase Member awareness, participation, and adoption within the Bulqit Block. The specific scope, timing, responsibilities, costs, funding, revenue or economic sharing, and other terms applicable to any particular marketing or activation initiative will be agreed upon separately between you and Bulqit before that initiative is undertaken. Your commitment under this Section is to participate in good faith and work collaboratively with Bulqit toward the shared objective of activating and growing the Bulqit Block for the mutual benefit of Bulqit, the Awarded Vendor, and Members.

Although we intend to operate collaboratively and succeed together, nothing in these Terms or any joint marketing, promotional, or Block activation activity creates a legal partnership, joint venture, franchise, fiduciary relationship, or agency relationship between you and Bulqit.

Bulqit retains control over the operation and administration of the Platform, including Vendor qualification, Block formation, Platform functionality, customer experience standards, performance monitoring, and the presentation of pricing to Members, subject to these Terms and any separate written agreement between you and Bulqit, including a Seed Vendor Agreement.

5. Pricing

The rate you're paid for a Covered Service is the rate you submitted and/or accepted through Bulqit's request for proposal (RFP) and bidding process for that particular Covered Service and Bulqit Block, or, where applicable, the rate established in a separate written agreement between you and Bulqit, such as a Seed Vendor Agreement. Bulqit presents the applicable pricing to Members through the Platform but does not unilaterally change your awarded rate outside that process or another agreement between you and Bulqit.

Your awarded rate may be established as a flat rate, per-unit rate, or other pricing structure applicable to the particular Covered Service and Bulqit Block. Unless otherwise specified as part of the applicable award, the awarded rate applies to all Members receiving that Covered Service within the Bulqit Block, including Members who join after the award, without requiring a separate bid or renegotiation for each Member.

Bulqit may enter into revenue-sharing, referral, marketing, distribution, or other economic arrangements with Seed Vendors, homebuilders, developers, Realtors, HOAs, community associations, referral partners, marketing partners, or other strategic participants associated with a Bulqit Block. Any amounts payable by Bulqit under those arrangements will be paid from Bulqit's economics and will not reduce your awarded rate or other amounts otherwise payable to you for a completed Covered Service unless you separately agree in writing to such reduction.

Bulqit may offer coupons, referral credits, promotional discounts, or other incentives to Members at Bulqit's expense without reducing the amount otherwise payable to you for a completed Covered Service. If Bulqit proposes a promotion that would reduce the amount payable to you, Bulqit will obtain your approval before applying that promotion to your Covered Services.

Notwithstanding the foregoing, when resolving a Member service issue or dispute, Bulqit may, in its reasonable discretion, withhold, reverse, refund, or credit all or a portion of the applicable charge and make a corresponding adjustment to the amount otherwise payable to you for that Covered Service. Any Vendor participation in such an adjustment will be calculated proportionately based on the amounts otherwise payable to you and Bulqit from the applicable transaction, unless Bulqit determines that the circumstances warrant a different allocation based on responsibility for the issue.

Bulqit will provide notice of any Vendor payment adjustment through the Platform, email, SMS where enabled, or the applicable payout or transaction ledger. If you dispute an adjustment, you must notify Bulqit through the Platform within 7 calendar days after the adjustment is reflected in your account or payout ledger and provide the basis for your dispute. If you don't dispute the adjustment within that period, the adjustment will be considered accepted and final.

6. Payment to Vendors

Bulqit collects payments from Members on your behalf for Covered Services and other services or work completed through the Platform. A Member's payment method is charged only after you have actually completed the applicable service or work and marked it as "Complete" through the Platform. By marking a service or other work as Complete, you are confirming that the applicable work has been performed and authorizing Bulqit to process the Member's payment through the Platform. Amounts payable to you are generally batched and processed on a weekly basis in accordance with Bulqit's standard payout cycle shown in your Platform account, subject to any applicable minimum payout threshold, payment processing delay, adjustment, refund, dispute, chargeback, or other amount permitted under these Terms.

For each Covered Service awarded to you, Bulqit charges a platform fee (the "Bulqit Platform Fee"). The Bulqit Platform Fee may vary by Bulqit Block, Covered Service, and type of transaction and may apply to both recurring and non-recurring services, including add-ons and other services purchased by a Member through the Platform. The applicable Bulqit Platform Fee or the method for calculating it will be disclosed to you as part of the applicable award or other written agreement between you and Bulqit before you accept Awarded Vendor Status for that Covered Service.

By accepting an award, you authorize Bulqit to deduct applicable payment processing fees from amounts collected from Members and to calculate and deduct the applicable Bulqit Platform Fee from the remaining amount, unless a different calculation method is disclosed as part of the applicable award or another written agreement between you and Bulqit. You also authorize Bulqit to deduct refunds, credits, chargebacks, adjustments, and any other amounts you owe Bulqit under these Terms or a separate written agreement before remitting the remaining balance to you. Your payout and transaction ledger will reflect the amounts collected from Members and applicable deductions and adjustments.

Unless otherwise expressly agreed in writing, all non-recurring services, add-ons, upgrades, and other additional work offered or proposed by you to a Member receiving a Covered Service from you through the applicable Bulqit Block must be proposed, accepted, administered, completed, and paid for through the Platform. This requirement applies whether the additional work is offered on a one-time or recurring basis. The applicable Bulqit Platform Fee applies to all such transactions, as well as recurring Covered Services and other services or transactions booked or administered through the Platform. You may not separately invoice or accept payment from the Member outside the Platform for such work. Bulqit may not increase the Bulqit Platform Fee applicable to an existing award during its then-current award term unless you agree to the increase or the change is expressly permitted under another written agreement between you and Bulqit.

If a Member's payment fails, is disputed, charged back, refunded, or otherwise not successfully collected, Bulqit may withhold the corresponding Vendor payout or, if the amount has already been paid to you, deduct or offset that amount against future payouts. Bulqit will use commercially reasonable efforts to collect valid amounts owed by Members, but Bulqit does not guarantee Member payment and is not independently responsible for paying you amounts that Bulqit does not successfully collect from the Member.

Payment amounts, Platform Fees, revenue-sharing arrangements, guarantees, or other economic terms established in a separate written agreement between you and Bulqit, including a Seed Vendor Agreement, will control over this Section to the extent of any conflict.

7. Scheduling and Skipped Services

You are responsible for scheduling Covered Services for Members within your assigned Bulqit Block(s) and for keeping your availability, service schedule, and completion status accurate and current through the Platform. Each Covered Service will have an applicable Scope of Work and service frequency established through the Platform, which may include recurring service at specified intervals and, where offered through the Platform, a one-time service associated with another recurring service. You are expected to perform each scheduled service instance in accordance with the applicable Scope of Work and service frequency. If the Scope of Work specifies that a particular task, component, or activity is to be performed at a different interval, seasonally, or only upon specified conditions, you must perform that task, component, or activity when required by the Scope of Work. Except as expressly provided in the applicable Scope of Work, you may not materially reduce, omit, or modify the services required for a scheduled service instance without the Member's agreement through the Platform.

A Member's acceptance of a Covered Service through the Platform authorizes you to perform the Covered Service at the Member's property in accordance with the applicable Scope of Work and service schedule, without requiring separate confirmation from the Member before each scheduled service instance. You may communicate with the Member before the first or any subsequent service visit when appropriate, and additional coordination may be necessary where access requirements, property conditions, Member instructions, or other circumstances require it.

If you're unable to complete a scheduled Covered Service due to weather, property access, unsafe conditions, equipment or staffing issues, or other circumstances affecting your ability to perform the Covered Service, you must promptly update the service through the Platform and reschedule or skip the applicable instance as appropriate. You should notify the Member as soon as reasonably possible through the Platform so the Member isn't left wondering whether or when you're coming.

Members may also skip individual service instances or cancel recurring Covered Services through the Platform in accordance with the applicable cutoff and the Member Terms. You will not be entitled to payment for a Covered Service that is skipped or cancelled in accordance with those requirements or that you do not complete.

You may not mark a Covered Service as completed unless the Covered Service was actually performed. Repeated missed, skipped, late, or rescheduled services, failure to keep scheduling information current, or inaccurate completion reporting may be considered in Bulqit's performance monitoring and may result in corrective action, suspension, removal, or replacement of your Awarded Vendor Status in accordance with these Terms.

8. Communications and Notifications

We encourage communications between you and Members regarding Covered Services to be made through the Platform whenever reasonably possible. The Platform allows you and Members to exchange messages and make calls using communication tools provided by Bulqit, including masked or proxy phone numbers that allow you to communicate without requiring either party to share personal contact information.

Communications made through the Platform may be stored or retained by Bulqit, including message content and information about calls, and may be used to administer the Platform, coordinate Covered Services, monitor Vendor performance, resolve service issues or disputes, enforce these Terms, and improve the Platform. If you communicate with a Member outside the Platform, Bulqit may not have access to or a record of those communications, which may limit our ability to assist in resolving a service issue or dispute.

Nothing in this Section prohibits you from communicating directly with a Member outside the Platform when reasonably necessary to coordinate or perform a Covered Service. However, regardless of how you communicate with a Member, you may not use direct communications to solicit, arrange, book, invoice, collect payment for, or otherwise move a transaction with a Member outside the Platform in violation of these Terms.

Bulqit will send you notifications related to scheduling, Member communications, payments and payouts, performance, compliance, and account status through the Platform, email, SMS, phone calls, or your Platform dashboard. Some notifications, including payment, service, account, and compliance-related communications, are necessary to your use of the Platform and can't be turned off. You can manage optional notification preferences in your account settings. Message and data rates may apply to SMS notifications.

You are responsible for keeping your email address, mobile phone number, and other account and business contact information current so that Bulqit can provide you with required communications.

9. Your Business and Payment Data

Bulqit collects and retains business, licensing, insurance, tax, banking, payment, account, and other information you provide or generate through the Platform as necessary to qualify you as a Vendor, administer your account, process payments and payouts, monitor performance and compliance, resolve disputes, and operate and improve the Platform.

Payment and payout information provided through the Platform may be processed by our third-party payment processor, Stripe. Bulqit does not directly store complete payment card or bank account information where that information is collected and maintained by Stripe. We may receive and retain limited payment-related information from Stripe, including account identifiers, payout status, transaction history, and other information necessary to administer your account and process payments and payouts.

You authorize Bulqit and its payment processor to use the information you provide as reasonably necessary to collect payments from Members, process payouts to you, make adjustments permitted under these Terms, verify your identity or business, satisfy applicable tax or reporting requirements, and administer the Platform.

You are responsible for keeping your business, tax, banking, licensing, insurance, and other account information accurate and current. Bulqit isn't responsible for a delayed or failed payout resulting from inaccurate, incomplete, or outdated information you provide.

We don't sell your personal or business data to third parties. Additional information about the information we collect, how we use it, and how we share it is provided in our Privacy Policy.

10. Performance Monitoring, Ratings, and Bulqit Score

Bulqit monitors Vendor performance using Member ratings, service completion and reliability data, responsiveness, service issues and resolutions, compliance with these Terms, and other information available through the Platform. This information may be used to calculate or inform a Bulqit Score, our proprietary Vendor performance rating system, and to evaluate your continued qualification, Awarded Vendor Status, eligibility for additional Bulqit Blocks, and other opportunities through the Platform.

The factors, methodology, weighting, and thresholds used to calculate or evaluate a Bulqit Score are determined by Bulqit and may change over time as the Platform evolves. Bulqit isn't required to disclose its proprietary scoring methodology, but we may provide you with ratings, performance information, or other feedback to help you understand and improve your performance.

Members may rate completed Covered Services and provide feedback through the Platform. You may respond to ratings, provide context, and document efforts to resolve a Member's concern through the Platform. You may not retaliate against, threaten, pressure, harass, or otherwise penalize a Member for providing a rating or feedback.

Vendors are expected to respond through the Platform to a low rating or material service complaint within 24 hours after receiving notice of it. If you don't respond within that period, Bulqit may communicate directly with the Member and take reasonable steps to investigate or resolve the issue. Repeated low ratings, unresolved service issues, poor responsiveness, unreliable performance, or other performance concerns may result in corrective action, suspension, removal or replacement of Awarded Vendor Status, or other action permitted under these Terms.

11. Dispute Mediation

Bulqit will act as a good-faith mediator when a Member reports an issue or dispute relating to a Covered Service and may facilitate communications between you and the Member through the Platform. Members are generally required under the Member Terms to report issues involving completion or quality of a Covered Service within 7 days after the service was marked completed.

You agree to cooperate reasonably and promptly with Bulqit's review of a service issue or dispute, including by responding to communications, providing relevant information or documentation, and, where appropriate, working with the Member to correct or resolve the issue. Bulqit may consider information available through the Platform, including service records, communications, ratings, photographs or other documentation, and information provided by you or the Member.

As part of resolving a service issue or dispute, Bulqit may, in its reasonable discretion, temporarily withhold payment or withhold, reverse, refund, or credit all or a portion of the applicable charge and make any corresponding adjustment to your payout as provided in Sections 5 and 6. Bulqit will provide notice of any Vendor payment adjustment through the Platform, email, SMS where enabled, or the applicable payout or transaction ledger. If you dispute an adjustment, you must notify Bulqit through the Platform within 7 calendar days after the adjustment is reflected in your account or payout ledger and provide the basis for your dispute. If you do not dispute the adjustment within that period, the adjustment will be considered accepted and final.

Bulqit's mediation is a service to the Platform community and does not make Bulqit a party to the Member and Vendor Service Agreement or a guarantor of either party's obligations or any particular outcome. Your responsibility for performing the Covered Service and the Member's rights and obligations relating to that service are governed by the applicable Member and Vendor Service Agreement and Scope of Work.

12. Vendor Independence

You are an independent business and independent contractor, not an employee, agent, franchisee, partner, joint venturer, or representative of Bulqit. Nothing in these Terms, your Awarded Vendor Status, or your use of the Platform creates an employment, agency, franchise, partnership, joint venture, fiduciary, or similar relationship between you and Bulqit, and you have no authority to enter into any agreement or incur any obligation on behalf of Bulqit.

You may accurately identify yourself as an Awarded Vendor on the Bulqit Platform for the applicable Covered Service and Bulqit Block, but you may not represent or imply that you are employed by Bulqit, are part of Bulqit, have authority to act on Bulqit's behalf, or that Bulqit guarantees your workmanship or performance. You may not use Bulqit's name, trademarks, logos, branding, or other proprietary materials except as authorized by Bulqit, and any authorized use must comply with Bulqit's then-current branding or usage requirements.

You are solely responsible for the manner and means by which you perform Covered Services, including the personnel, equipment, vehicles, materials, supplies, methods, and procedures you use, subject to the applicable Scope of Work, Member and Vendor Service Agreement, these Terms, applicable law, and the service and customer experience standards established for use of the Platform. Bulqit may establish requirements relating to scheduling, communication, service documentation, Member experience, performance standards, and use of the Platform, but those requirements do not give Bulqit control over the manner and means by which you perform the underlying Covered Services.

You are solely responsible for hiring, supervising, directing, compensating, and, where applicable, terminating your employees, contractors, subcontractors, and other personnel. You are responsible for all wages, payroll taxes, benefits, workers' compensation obligations, unemployment insurance, employment-related obligations, and other amounts or requirements associated with your personnel. No individual performing services on your behalf is an employee or contractor of Bulqit solely by reason of performing Covered Services through the Platform.

You are responsible for your own business expenses, equipment, insurance, licenses, permits, taxes, and other costs associated with operating your business and performing Covered Services. Except where applicable law expressly requires otherwise, you are solely responsible for determining whether any sales, use, excise, or similar taxes apply to Covered Services or other services you provide through the Platform and for calculating, including, collecting, reporting, and remitting all such taxes. All pricing you submit or accept for a Covered Service, and all pricing you propose or quote to a Member for any non-recurring service, add-on, upgrade, or other work through the Platform, must include all applicable taxes. Bulqit does not calculate, add, collect, report, or remit such taxes on your behalf, and you may not separately charge a Member through or outside the Platform for taxes that should have been included in the applicable price.

You may provide services to customers outside the Platform and may conduct business with other marketplaces, platforms, or service providers, subject to the exclusivity, non-circumvention, confidentiality, and other obligations applicable to Bulqit Members and Bulqit Blocks under these Terms.

13. Insurance and Liability

You are solely responsible for the Covered Services you perform and for the acts and omissions of your employees, contractors, subcontractors, and other personnel. This includes responsibility for the manner and means of performance, workmanship, property damage, personal injury, and other loss or harm arising from your negligent or wrongful acts or omissions or those of anyone performing Covered Services on your behalf.

You must maintain, at your own expense, all insurance required by applicable law and Bulqit's then-current vendor qualification standards for as long as you provide Covered Services through the Platform. You are responsible for ensuring that your insurance is appropriate for the Covered Services you perform and covers your employees, contractors, subcontractors, vehicles, equipment, and operations as applicable. Upon request, you must provide Bulqit with current certificates of insurance or other reasonable evidence of coverage and promptly notify Bulqit of any cancellation, lapse, material reduction, or other material change in required coverage.

To the fullest extent permitted by law, you will indemnify, defend, and hold harmless Bulqit and its affiliates and their respective officers, directors, members, managers, employees, agents, successors, and assigns from and against third-party claims, damages, losses, liabilities, judgments, penalties, fines, costs, and reasonable attorneys' fees arising out of or relating to (a) your performance or failure to perform a Covered Service; (b) your or your personnel's negligent or wrongful acts or omissions; (c) property damage, personal injury, or death caused by you or your personnel; (d) your violation of applicable law; or (e) your material breach of these Terms or the applicable Member and Vendor Service Agreement.

Bulqit operates and administers the Platform but does not perform Covered Services and is not responsible for your workmanship, personnel, equipment, business operations, or acts or omissions. Bulqit does not guarantee any minimum number of Members, Covered Services, transactions, revenue, earnings, Awarded Vendor Status, or future business opportunity through the Platform.

To the extent permitted by law, Bulqit's total liability to you arising out of or relating to these Terms, the Platform, or your relationship with Bulqit will not exceed the greater of (a) $100 or (b) the Bulqit Platform Fees actually received and retained by Bulqit from transactions attributable to your Covered Services during the 90 days preceding the event giving rise to the claim. Bulqit is not liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost revenue, loss of business opportunity, loss of goodwill, or loss of data.

Nothing in this Section limits any liability that cannot be limited or excluded under applicable law.

14. Removal and Replacement

Bulqit may suspend, remove, or replace you as the Awarded Vendor for a Bulqit Block or Covered Service for cause, including if you materially breach these Terms; fail to maintain required licensing, permits, insurance, or Vendor qualifications; repeatedly fail to perform Covered Services in a professional, reliable, or commercially reasonable manner; receive repeated or significant Member complaints or performance concerns; fail to meet applicable Scope of Work or service standards; repeatedly miss, skip, or improperly report Covered Services; fail to respond reasonably to Member or Bulqit communications; misuse Member information; solicit or transact with Members outside the Platform in violation of these Terms; engage in fraud, dishonesty, unlawful conduct, or conduct that creates a material safety risk; or engage in conduct that Bulqit reasonably determines materially harms the reputation, integrity, operation, or Member experience of Bulqit, a Bulqit Block, or the Platform.

Where Bulqit reasonably determines that immediate action is necessary to protect a Member, a Bulqit Block, the Platform, or Bulqit's legitimate business interests, Bulqit may immediately suspend your Awarded Vendor Status or access to some or all Platform functionality while the matter is reviewed. Depending on the circumstances, Bulqit may provide you an opportunity to respond to or correct a performance or compliance issue before permanently removing or replacing you, but Bulqit isn't required to provide a cure period where the issue is serious, repeated, incapable of cure, or otherwise warrants immediate removal.

You may not voluntarily terminate or withdraw from Awarded Vendor Status before the end of the applicable award term except as permitted by the applicable award or a separate written agreement between you and Bulqit, or with Bulqit's written consent. If Bulqit permits an early withdrawal, you must provide the notice required by Bulqit and reasonably cooperate in transitioning affected Members and Covered Services to a successor Awarded Vendor. You must continue performing scheduled Covered Services during any applicable notice or transition period unless Bulqit agrees otherwise in writing. Nothing in this paragraph requires you to perform a Covered Service where doing so would be unlawful or present a material safety risk.

Upon suspension, removal, replacement, or expiration of your Awarded Vendor Status, Bulqit may transition affected Members and Covered Services to another Vendor and may immediately restrict or terminate your access to those Members and their information through the Platform. You must cooperate reasonably with any transition requested by Bulqit and may not interfere with, discourage, or attempt to prevent a Member's transition to a successor Awarded Vendor.

Ending your Awarded Vendor Status does not affect amounts properly earned or obligations incurred before the effective date of removal or replacement, subject to any refunds, credits, chargebacks, payment adjustments, or other rights under these Terms. Obligations that by their nature should survive, including payment adjustments, confidentiality, restrictions on use of Member information, indemnification, and the 52-week non-circumvention obligations under Section 4, will continue after your Awarded Vendor Status ends.

If you have a separate written agreement with Bulqit that provides additional or different rights relating to removal or termination without cause, notice, cure periods, transition obligations, termination payments, or similar matters, including a Seed Vendor Agreement, that separate written agreement will control with respect to those matters to the extent of any conflict with this Section.

15. Confidentiality

Through the Platform, you may receive or have access to non-public information about Bulqit, Members, Bulqit Blocks, and other Vendors, including Member names, addresses, contact information, property information, access instructions, service history, communications, pricing, account information, and other information made available to you in connection with your use of the Platform ("Confidential Information"). You must keep Confidential Information confidential and use it only as necessary to perform Covered Services and fulfill your obligations under these Terms.

Member information made available to you through the Platform is provided solely for purposes of servicing that Member through Bulqit. You may not sell, share, disclose, copy, export, retain for unrelated purposes, or use Member information to create or supplement your own customer, prospect, or marketing database. You may not use Member information obtained through Bulqit to market, solicit, or offer services to a Member outside the Platform or otherwise circumvent Bulqit.

You may share Confidential Information with your employees, contractors, or subcontractors only to the extent reasonably necessary for them to perform Covered Services on your behalf, and you are responsible for ensuring that they protect and use that information consistently with this Section. You remain responsible for any misuse or unauthorized disclosure of Confidential Information by anyone to whom you provide access.

You must maintain reasonable administrative, technical, and physical safeguards to protect Confidential Information from unauthorized access, use, disclosure, loss, or misuse. You must promptly notify Bulqit if you become aware of any unauthorized access to, disclosure of, or misuse of Member information or other Confidential Information obtained through the Platform and reasonably cooperate with Bulqit in addressing the issue.

When your Awarded Vendor Status for a Bulqit Block ends or your access to the Platform is terminated, your right to use Member information associated with that Bulqit Block ends as well. You must stop using that information and, upon Bulqit's request, delete or destroy Confidential Information in your possession or control, except to the extent retention is required by applicable law. Any information retained as required by law remains subject to the confidentiality and use restrictions in this Section.

These obligations do not apply to information that you can demonstrate was lawfully known to you without restriction before receiving it through Bulqit, becomes publicly available through no breach of these Terms, is lawfully received from a third party without a confidentiality obligation, or is independently developed without use of Confidential Information. You may also disclose Confidential Information when required by law, provided that, where legally permitted, you give Bulqit reasonable notice before disclosure.

Your obligations under this Section survive the expiration or termination of these Terms and the end of your Awarded Vendor Status.

16. Vendor Content and Bulqit Intellectual Property

You retain ownership of photographs, logos, trademarks, business information, descriptions, service documentation, marketing materials, and other content or materials you provide to Bulqit or upload through the Platform ("Vendor Content"). By providing or uploading Vendor Content, you grant Bulqit a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, distribute, publish, format, adapt, and otherwise use Vendor Content as reasonably necessary to operate, administer, promote, and market the Platform, your business and Covered Services, and applicable Bulqit Blocks, including in digital marketing, direct mail, social media, community communications, events, and other Block activation efforts. You represent that you own or otherwise have all rights necessary to provide the Vendor Content and authorize Bulqit's use of it as described in these Terms.

The Platform, including its software, design, functionality, content, data compilations, Bulqit Blocks, trademarks, logos, branding, and other proprietary materials, is owned by or licensed to Bulqit and is protected by applicable intellectual property laws. Except for the limited right to use the Platform and any Bulqit materials expressly authorized by Bulqit in connection with your Awarded Vendor Status, these Terms do not grant you any ownership or other rights in the Platform or Bulqit's intellectual property.

17. Account Security and Platform Use

You are responsible for maintaining the confidentiality and security of your Platform account and login credentials and for all activity conducted through your account by you or your authorized personnel. You may provide Platform access to your employees or other authorized personnel only as permitted by the Platform and remain responsible for their use of the Platform and compliance with these Terms. You must promptly notify Bulqit if you become aware of any unauthorized access to or use of your account.

You may not misuse the Platform or use it for any unlawful, fraudulent, deceptive, or unauthorized purpose. This includes impersonating another person or business; accessing or attempting to access another user's account without authorization; scraping, harvesting, copying, downloading, or systematically extracting Member information, Vendor information, pricing, Bulqit Block information, or other Platform data except as reasonably necessary for your authorized use of the Platform; introducing malicious code; interfering with or disrupting the operation or security of the Platform; attempting to circumvent Platform security, payment processing, communications, access controls, or other functionality; or using automated systems, bots, scripts, or similar technology to access or interact with the Platform except as expressly authorized by Bulqit.

18. Changes to These Terms

Bulqit may update these Terms from time to time. If we make a material change, we'll notify you through the Platform or by email before the change takes effect. Continuing to use the Platform after a change takes effect means you accept the updated Terms.

Changes to these Terms do not, by themselves, modify the specific pricing, Bulqit Platform Fee, award term, revenue share, guarantee, or other economic terms applicable to an existing Awarded Vendor Status where those terms were separately established and accepted through the applicable award or a separate written agreement between you and Bulqit. Any change to those terms will be made in accordance with the applicable award or separate written agreement.

19. Governing Law and Dispute Resolution

These Terms and your relationship with Bulqit are governed by the laws of the State of Illinois, without regard to conflict of laws principles, except to the extent applicable law requires otherwise.

Before starting arbitration or filing a legal claim against Bulqit relating to these Terms, the Platform, your Awarded Vendor Status, or your relationship with Bulqit, you agree to first provide Bulqit written notice through the Platform and give us a reasonable opportunity to resolve the dispute informally. Bulqit agrees to do the same before initiating a claim against you. If the dispute isn't resolved within 30 days after written notice of the dispute, either party may proceed as described below.

Except for claims eligible to be brought in small claims court or claims seeking temporary or injunctive relief, you and Bulqit agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, your Awarded Vendor Status, or your relationship with Bulqit will be resolved through binding individual arbitration rather than in court. Arbitration will be administered by the American Arbitration Association ("AAA") under its applicable Commercial Arbitration Rules, as modified by these Terms. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration provision.

You and Bulqit agree that claims may be brought only on an individual basis and not as a plaintiff, claimant, or class member in any purported class, collective, consolidated, coordinated, or representative proceeding. The arbitrator may award relief only to the individual party seeking relief and only to the extent necessary to resolve that party's individual claim.

To the extent a dispute is permitted to proceed in court rather than arbitration, you and Bulqit waive any right to a trial by jury to the extent permitted by applicable law. Except for an eligible small claims action or where applicable law requires otherwise, any such legal action must be brought exclusively in the state or federal courts located in Cook County, Illinois, and you and Bulqit consent to the personal jurisdiction and venue of those courts.

Nothing in this Section prevents either you or Bulqit from bringing an individual claim in small claims court where the claim qualifies or from seeking temporary or injunctive relief from a court where necessary to protect legal rights, Confidential Information, Member information, the Platform, or prevent immediate harm.

If any portion of this Section is found unenforceable, that portion will be severed to the extent permitted by law and the remainder of this Section will remain in effect, except where severance would materially alter the agreement to arbitrate on an individual basis.

If a separate written agreement between you and Bulqit contains a different governing law or dispute resolution provision applicable to that agreement, including a Seed Vendor Agreement, that provision will control with respect to disputes arising specifically under that separate agreement to the extent of any conflict with this Section.

20. Events Outside Our Control

Neither you nor Bulqit will be responsible for a delay or failure to perform an obligation under these Terms to the extent caused by circumstances outside the affected party's reasonable control, including severe weather, natural disasters, utility or internet outages, telecommunications failures, payment processor or third-party technology failures, government actions, labor disruptions, or other events that the affected party could not reasonably prevent.

If an event outside your reasonable control affects your ability to perform a scheduled Covered Service, you must promptly update the service through the Platform and take reasonable steps to notify affected Members and reschedule or skip the applicable service as appropriate. A Covered Service that isn't completed will not be billed to the Member or payable to you solely because it was scheduled before or during such an event.

If an event outside Bulqit's reasonable control affects Platform availability, billing, payment processing, communications, payouts, or another Platform function, Bulqit will use commercially reasonable efforts to restore normal operations. Bulqit will not be responsible for delays in Vendor payouts or other Platform functions resulting from such an event, provided that amounts properly owed to you will remain payable once the affected systems or services are restored.

21. Electronic Communications and Agreements

By registering as a Vendor or using the Platform, you consent to receive agreements, notices, disclosures, payment and payout information, service communications, compliance notices, and other records relating to the Platform and your Awarded Vendor Status electronically, including through the Platform, email, or SMS, as applicable. You agree that electronic communications satisfy any legal requirement that such communications be provided to you in writing.

You also agree that your electronic acceptance of these Terms, Awarded Vendor Status, a Scope of Work, pricing, Bulqit Platform Fees, or any other agreement or terms presented to you through the Platform has the same legal effect as a handwritten signature. Your acceptance of Awarded Vendor Status for a Bulqit Block and Covered Service also constitutes your agreement to provide Covered Services to Members who subsequently accept that Covered Service through checkout, subject to the applicable Member and Vendor Service Agreement and Scope of Work.

You are responsible for keeping your email address, mobile phone number, business information, and other account information current so that Bulqit can provide you with required communications.

22. General

These Vendor Terms, together with any policies or additional terms expressly incorporated into them and any separate written agreement between you and Bulqit applicable to your use of the Platform or Awarded Vendor Status, are the complete agreement between you and Bulqit regarding your use of the Platform and your relationship with Bulqit and supersede any prior agreements or understandings between you and Bulqit regarding the same subject matter. Each separate Member and Vendor Service Agreement and applicable Scope of Work governs the Covered Service relationship between you and the applicable Member, and Bulqit is not a party to those agreements.

If any provision of these Vendor Terms is found to be invalid or unenforceable, the remaining provisions will remain in effect, subject to the specific severability provisions applicable to arbitration and dispute resolution under Section 19.

You may not assign or transfer your account, Awarded Vendor Status, or your rights or obligations under these Vendor Terms without Bulqit's prior written consent, including in connection with a merger, sale of assets, change of control, or other business transaction. Bulqit may condition its consent on the proposed successor satisfying Bulqit's then-current Vendor qualification standards and agreeing to assume the applicable obligations. Bulqit may assign or transfer these Vendor Terms, in whole or in part, in connection with a merger, acquisition, reorganization, sale of assets, financing, or other business transaction, or to an affiliate or successor, without your consent.

If a separate written agreement between you and Bulqit, including a Seed Vendor Agreement, conflicts with these Vendor Terms, the separate written agreement will control with respect to the specific subject matter addressed by that agreement. Otherwise, these Vendor Terms will continue to apply.

Bulqit's failure to enforce any provision of these Vendor Terms doesn't waive our right to enforce that provision or any other provision later. Headings are for convenience only and don't affect the interpretation of these Vendor Terms.
